Terms and Conditions
This English translation is provided for convenience. In case of discrepancies, the German version is legally binding.
Section 1 Scope
These Terms and Conditions apply to all business relationships between L3D1 Solutions GmbH (hereinafter referred to as the "Provider") and its customers (hereinafter referred to as the "Customer").
These Terms and Conditions apply in particular to contracts for the development and provision of software solutions and IT services.
Section 2 Conclusion of contract
The contract is concluded by offer and acceptance. The Provider's offer is subject to change and non-binding.
The contract becomes effective only upon written order confirmation by the Provider.
Section 3 Prices and payment terms
Prices are exclusive of statutory value-added tax.
Invoices are payable without deduction within 30 days of the invoice date.
Section 4 Warranty and liability
The Provider warrants that the developed software complies with the agreed specifications.
The Provider's liability is limited to intent and gross negligence.
Section 5 Intellectual property
All rights to the developed software, including copyrights, remain with the Provider until payment has been made in full.
After full payment, the Customer receives a non-exclusive, non-transferable right of use.
Section 6 Confidentiality
Both parties undertake to maintain confidentiality regarding all trade and business secrets.
This obligation also applies after termination of the contractual relationship.
Section 7 Final provisions
German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
The place of jurisdiction is Munich.
